Flookup Data Wrangler Terms and Conditions

Definitions

• Add-on: The proprietary Google Sheets add-on called "Flookup" or "Flookup Data Wrangler".
• App: The classic web-based application.
• Desktop App: The Windows application known as "Flookup Data Wrangler Desktop", distributed as a signed installer from the Website.
• Services: The Add-on, the App, the Desktop App and the free tools collectively, including any artificial intelligence features provided within the Add-on.
• You/Your/Yourself: An individual or legal entity exercising permissions granted by this Licence.
• Licence: The terms and conditions for use, reproduction and distribution as defined by this document.
• Developer: The Add-on and app owner or entity authorised by the owner that is granting the Licence.

Licence

By downloading, installing or using the Services, you agree to be bound by international intellectual property laws and by the terms and conditions of this agreement between you and the Developer.

The Developer grants you a revocable, non-exclusive, non-transferable, limited licence to download, install and use the Services solely in accordance with the terms of this Licence.

Restrictions

• It is a breach of this Licence to share, loan, rent, lease or otherwise transfer your access credentials or licence to any other person or entity. If any person other than yourself uses the Services licensed to you, you will be deemed responsible for that breach.
• You may not assign, sub-licence, sell, resell or distribute the Services, in whole or in part, without prior written consent from the Developer.
• You agree not to and will not permit others to, licence, sell, rent, lease, assign, distribute, transmit, host, outsource, disclose or otherwise commercially exploit the Services or make the Services available to any third party.
• You agree not to and will not permit others to, use the Services except in compliance with all applicable laws and not for any unlawful purpose. The use or distribution of the Services together with material that is pornographic, racist, vulgar, obscene, defamatory, libellous, abusive, promoting hatred, discriminating or displaying prejudice based on religion, ethnic heritage, race, gender or age is strictly prohibited.
• Each licensed instance of the Add-on may be used by a single Consumer or Managed Google Account. Use of the Services means that you have loaded, installed or run the Add-on, are accessing the App or have installed or run the Desktop App.
• Each Desktop App licence covers one seat on one computer. Moving the licence to a new computer requires releasing the seat in My Account on the old machine first.

No Reverse Engineering or Tampering

You agree not to, and will not permit others to, reverse engineer, decompile or disassemble the Desktop App, attempt to derive its source code, algorithms or licence logic, or modify it in any way not authorised by the Developer. Removing, altering or circumventing the digital signature on the installer, the integrity checks, the licence binding to your device or any technical protection measure in the Desktop App is a material breach of this Licence.

Distributing modified or repackaged copies of the installer, presenting them as genuine or encouraging any of the above is equally prohibited.
A breach of this section terminates the Licence immediately, and the Developer reserves the right to pursue any remedy available under applicable law.

Modifications to the Services

The Developer reserves the right to modify, suspend or discontinue, temporarily or permanently, the Services or any service to which they connect, with or without notice and without liability to you.

Term and Termination

This Licence shall remain in effect until terminated by you or the Developer. The Developer may, in its sole discretion, at any time and for any or no reason, suspend or terminate this Licence with or without prior notice.
This Licence will terminate immediately, without prior notice from the Developer, in the event that you fail to comply with any provision of this Licence.

You may also terminate this Licence by deleting the Add-on, uninstalling the Desktop App and ceasing all use of the App.
Upon termination of this Licence, you shall cease all use of the Services and delete all copies of the Add-on and the Desktop App from your computer or from any other electronic device owned by you.

Severability

If any provision of this Licence is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

Future Amendments to the Licence

The Developer reserves the right, at its sole discretion, to modify or replace this Licence at any time.
If a revision is material, we will provide notice at least 30 days prior to any new terms taking effect. What constitutes a material change will be determined at the sole discretion of the Developer.

Limitation of Responsibility

You will indemnify, hold harmless and defend the Developer, its employees, agents and distributors against any and all claims, proceedings, demand and costs resulting from or in any way connected with your use of the Services.

In no event (including, without limitation, in the event of negligence) will the Developer, its employees, agents or distributors be held liable for any consequential, incidental, indirect, special or punitive damages whatsoever (including, without limitation, damages resulting in loss of profits, loss of use, business interruption, loss of information or data or pecuniary loss), in connection with, arising out of or related to this Licence, the Services or the use or inability to use the Services or the furnishing, performance or use of any other matters hereunder whether based upon contract, tort or any other theory including negligence.

The entire liability of the Developer, without exception, is limited to a sum equal to any licence fee paid to the Developer.

Disclaimer of Warranty

THE SERVICES AND ANY ACCOMPANYING FILES ARE PROVIDED "AS IS" AND WITHOUT WARRANTIES AS TO PERFORMANCE OR MERCHANTABILITY OR ANY OTHER WARRANTIES WHETHER EXPRESSED OR IMPLIED. THIS DISCLAIMER INCLUDES ALL DATA AND FILES THAT ARE TRANSMITTED, MODIFIED, GENERATED, DELETED OR STORED BY THE SERVICES.
